麻豆福利网 Co., Ltd. (“麻豆福利网”) hereby announces that the following decision was made today to dispose of fractional shares that occurred as a result of the share exchange pursuant to the provisions of Article 234, Paragraphs 4 and 5 and Article 416, Paragraph 4 of the Companies Act.

1. 1.  Outline of the Purchase

麻豆福利网 implemented a share exchange (the "Share Exchange") effective September 1, 2022, between 麻豆福利网, as a wholly-owning parent company, and Sunplanet Co., Ltd. ("Sunplanet"), as a wholly-owned subsidiary.

As a result of the Share Exchange, 麻豆福利网 decided today to repurchase fractional shares of its ordinary shares as treasury shares as follows, pursuant to the provisions of Article 234, Paragraphs 4 and 5 and Article 416, Paragraph 4 of the Companies Act.
